Hotel Operator Agreement Indonesia: What Owners Should Check Before Signing

Hotel Operator Agreement Indonesia: What Owners Should Check Before Signing

Hotel Operator Agreement Indonesia: A hotel operator agreement determines how a hotel owner hands day-to-day management authority to an operator without handing over ownership of the asset itself. For an owner or investor, the most important questions are therefore not only who will run the hotel, but what the operator may decide, how money is controlled, which obligations remain with the owner, how regulatory responsibilities are allocated, and how the relationship can end.

A strong agreement should make those boundaries measurable. Broad phrases such as “full management authority” are rarely enough on their own because hotel operations can involve pricing, staffing, procurement, guest contracts, technology systems, brand standards, bank accounts, repairs, marketing, licences, and long-term commitments.

What a Hotel Operator Agreement Actually Does

The agreement should identify the hotel, owner, operator, management scope, commencement conditions, operating term, and the authority the operator receives. It should also say what the operator does not control without owner approval.

This distinction is central to an owner-side review. Day-to-day operating freedom can be commercially necessary, but major capital expenditure, borrowing, changes to the hotel’s positioning, related-party contracts, disposal of assets, long-term leases, material litigation settlements, and changes to the operating structure may justify separate owner consent.

The contract should also distinguish management from property ownership. Appointing an operator to run the hotel should not accidentally create language suggesting a transfer of land rights, ownership rights, or powers that the owner never intended to grant.

Hotel Operator Agreement Indonesia: Core Clauses to Review

A hotel operator agreement Indonesia owner can rely on should address at least five control areas: operating authority, money, people, brand systems, and exit.

Separate Operator Authority from Owner Reserved Matters

Start with an authority matrix. Routine pricing decisions, guest service, ordinary purchasing, staff scheduling, and day-to-day marketing may sit with the operator. Larger decisions can be reserved for the owner or made subject to an approved annual business plan.

Reserved matters may include capital projects, borrowing, contracts above an agreed value or duration, disposal of material assets, opening or closing major facilities, appointment of related-party suppliers, settlement of significant disputes, and material changes to the hotel’s concept. These are commercial drafting choices rather than universal statutory thresholds, so the agreement should match the property’s size and ownership structure.

The contract should also say whether the operator acts as agent for the owner in particular transactions and what limits apply to that authority. If the operator can bind the owner to supplier, employee, technology, or guest-facing obligations, those powers should be express rather than assumed.

Define Management Fees, Budgets, and Cash Controls

Fee provisions should state exactly what the operator is paid and how each amount is calculated. If there is a base management fee, incentive fee, centralized-services charge, reservation-system fee, marketing contribution, or reimbursement mechanism, define the calculation base and payment timing.

Annual budgeting is equally important. The agreement can establish when the operator must submit the operating plan and capital budget, what supporting detail must be provided, how owner objections are handled, and what happens if the parties do not agree before the new financial year begins.

Cash controls should identify which entity receives hotel revenue, who is authorized to operate bank accounts, what payment limits apply, and how often the owner receives financial statements. The agreement can also require supporting documentation for material expenditure and define whether procurement from operator affiliates requires disclosure or approval.

Deal with Brand Systems and Franchise Documents Separately

A management agreement and a franchise or brand-licence arrangement solve different commercial problems. The management agreement appoints the party responsible for running the hotel, while a brand or franchise document can govern the right to use trademarks, reservation systems, operating standards, loyalty programs, technology, and other brand assets.

A project can use both structures, but owners should map the documents separately. Check whether termination of the management agreement automatically ends the brand relationship, whether separate fees survive, whether hotel data and digital accounts can be transferred, and whether the owner has any right to continue operating during a transition period.

This is also why a planned franchise agreement should not simply be incorporated by vague reference. If another agreement changes the owner’s payment obligations, renovation duties, technology requirements, or termination rights, the interaction should be clear across all transaction documents.

Current Indonesian Licensing Context for Hotel Management

A private management contract does not replace business licensing. Indonesia’s current risk-based business licensing framework is Government Regulation No. 28 of 2025, which took effect on 5 June 2025 and revoked Government Regulation No. 5 of 2021.

For the tourism sector, Minister of Tourism Regulation No. 6 of 2025 has been in force since 10 October 2025 and revoked Minister of Tourism Regulation No. 4 of 2021.

The current regulation is particularly relevant to hotel management arrangements. In the regulation’s official annex, hotel management services are listed under KBLI 55900, and the service standards expressly include preparation and evaluation of a Manual Hotel Management Agreement.

Check Which Entity Is the Hotel Business Actor and Which Is the Manager

Owners should therefore identify the regulatory role of each entity before finalizing the contract. The entity operating the accommodation business, the property-owning company, the hotel-management service provider, and a brand licensor may not always be the same party.

The agreement should allocate responsibility for maintaining the licences, standards, operating documentation, inspections, government reporting, and approvals that apply to each party’s actual business activity. It should also require notice if a material licence, approval, or business classification changes.

The drafting should not assume that a contractual appointment automatically gives an operator every regulatory permission needed for its activities. Licensing should be checked against the actual structure, business classification, risk level, services provided, and entity carrying them out.

Performance Tests, Default, and Termination

Long-term hotel management relationships need an exit framework before problems arise. The agreement can define performance tests using commercial metrics selected by the parties, but the formula, testing period, exclusions, cure rights, and consequences should all be written clearly.

Owners should also distinguish performance failure from legal default. Fraud, unauthorized commitments, material regulatory non-compliance, insolvency, loss of required authority, repeated reporting failures, misuse of hotel funds, or serious breach of the approved budget may require different remedies from ordinary underperformance.

Termination provisions should address future reservations, guest deposits, employee matters, supplier contracts, bank access, reservation-system access, intellectual property, social-media accounts, hotel websites, operational manuals, financial records, customer information, keys, passwords, and physical inventory. A transition clause is often as important as the termination trigger itself.

Language Rules for Indonesian and Foreign Operators

Where an Indonesian party is involved, contract language must also be reviewed carefully. Under Law No. 24 of 2009, Bahasa Indonesia must be used in agreements involving an Indonesian state institution, government institution, Indonesian private institution, or Indonesian citizen; where a foreign party is involved, the agreement is also written in that party’s national language and/or English.

Presidential Regulation No. 63 of 2019 further provides that the foreign-language or English text functions as the counterpart or translation of the Indonesian text, and the parties may agree which language is used if interpretations differ.

For a cross-border hotel operator agreement, the language clause should therefore be addressed during drafting rather than treated as an administrative translation exercise after commercial negotiations are complete. Defined terms, fee formulas, performance tests, termination rights, indemnities, schedules, and brand obligations should match across versions.

Pre-Signing Checklist for Owners and Investors

Before signing, confirm that:

  • the correct owner, operator, and any brand entity are identified
  • the management scope and operator authority are expressly defined
  • owner reserved matters and approval thresholds are written down
  • the annual operating plan and capital budget process is workable
  • every management, incentive, system, marketing, and reimbursement fee has a defined basis
  • bank authority, cash controls, reporting, and audit access are clear
  • related-party procurement and operator-affiliate charges are addressed
  • hotel employees and employment responsibilities are allocated
  • hotel licensing and hotel-management-service responsibilities are mapped to the correct entities
  • brand, trademark, reservation-system, technology, and guest-data rights are addressed
  • performance tests include clear measurement and cure mechanics
  • default, termination, transition, and handover provisions work together
  • Bahasa Indonesia and any foreign-language or English counterpart are prepared consistently where required

Conclusion

A hotel operator agreement is ultimately an allocation-of-control document. Owners should be able to identify, from the agreement alone, who may make each important decision, who bears each operating or regulatory responsibility, how the operator is paid, how performance is measured, and what happens when management ends.

In Indonesia, the contract should also be checked against the current risk-based licensing and tourism standards rather than relying on older PP No. 5 of 2021 or Permenpar No. 4 of 2021 references. For cross-border structures, language requirements should be addressed at the same time as the commercial terms so the Indonesian and foreign-language versions remain aligned.

Review the Operator Structure Before Signing

If you are appointing a hotel operator or reviewing an existing hospitality management structure, Lombok Legal ID can assist with contract-related, notary, business setup, and licensing support within its stated service scope.

A tailored review is especially useful where the owner and operator are separate entities, a foreign operator or brand is involved, fees are spread across several agreements, or responsibility for licences, budgets, performance, and termination is unclear.

FAQ – Hotel Operator Agreement Indonesia

Is a hotel operator agreement the same as a franchise agreement?

Not necessarily. A hotel operator agreement primarily governs who manages the hotel and on what authority, while a franchise or brand agreement may govern trademarks, reservation systems, brand standards, technology, and related fees. A project can use both, so their termination, payment, and operating provisions should be checked together.

Does appointing a hotel operator transfer ownership of the hotel?

A management appointment should be drafted separately from ownership or land rights. The agreement should define operational authority without unintentionally suggesting a transfer of the owner’s property rights.

What should an owner check in hotel management fees?

Check every fee category, the calculation base, payment timing, taxes where addressed, reimbursements, centralized-service charges, affiliate charges, and the owner’s ability to verify the underlying numbers through financial reporting and records.

Does a hotel operator agreement replace OSS or tourism licensing?

No. A private contract allocates rights and duties between the parties, while business licensing applies to the activities actually carried out by the relevant entities. The owner should map the hotel business, hotel management service, and any other regulated activities to the correct business actor.

Should an agreement with a foreign hotel operator be bilingual?

Where the statutory Indonesian-language rule applies, Bahasa Indonesia is required, and an agreement involving a foreign party is also written in that party’s national language and/or English. The parties should also address which agreed language is used if interpretations differ.
